Terms of Service

The terms you agree to when you use MainteNex, including what the app does with your community's records and what it deliberately does not do.

These Terms of Service ("Terms") govern your access to and use of the MainteNex mobile application and related services (the "Service"), provided by Appseed ("we", "our", "us"). By downloading, installing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

To use MainteNex you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a legally binding contract. By creating an account you represent and warrant that you meet these requirements.

2. Your Account

  • Registration. You must provide accurate and current information (phone number, name, email) and verify your identity via OTP.
  • Security. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us immediately of any unauthorised access.
  • Roles. Depending on your role (admin, flat owner, resident) you may have different permissions within a community. You agree to use permissions only for their intended purpose.
  • Accuracy. You are responsible for keeping your account and community information accurate and up to date.

3. Communities, Flats, and Payments

  • Community creation and membership. Admins may create communities and invite members; members may request to join. Approvals and role assignments are governed by the community's admin(s), not by MainteNex.
  • Financial records. MainteNex is a record-keeping and workflow tool. Invoices, expenses, and payment entries reflect information provided by community admins and members. MainteNex is not a party to any payment or financial arrangement between members.
  • Bank details. Bank account information provided by admins is used solely to display payment destinations to members. We do not execute, hold, or settle funds.
  • Disputes. Any dispute regarding a community's expenses, invoices, payments, or governance is a matter between the members and admins of that community. MainteNex is not responsible for resolving such disputes.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload content that is illegal, defamatory, infringing, obscene, or violates the rights of others.
  • Attempt to access accounts, communities, or data you are not authorised to access.
  • Interfere with or disrupt the Service, its servers, or networks.
  • Reverse engineer, decompile, or extract source code from the app, except as permitted by law.
  • Use automated means (bots, scrapers, crawlers) to access the Service without our written consent.
  • Impersonate any person or misrepresent your role, identity, or affiliation.
  • Use the Service to send spam, unsolicited messages, or malicious content.

We may suspend or terminate accounts that violate these rules.

5. User Content

  • Ownership. You retain ownership of content you upload (photos, receipts, documents, messages).
  • Licence to us. You grant MainteNex a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and process your content solely as necessary to operate and improve the Service.
  • Your responsibility. You represent that you have all rights necessary to upload the content and that it does not violate any law or third-party right.
  • Removal. We may remove content that violates these Terms or applicable law.

6. Fees

MainteNex may be offered free of charge, on a subscription basis, or with paid features. Any applicable fees, billing terms, and refund policy will be disclosed in the app before purchase. Taxes may apply.

Community-level charges (maintenance fees, invoices) are set by community admins and are not fees charged by MainteNex.

7. Intellectual Property

All rights, title, and interest in the Service — including software, design, logos, trademarks, and content provided by us — belong to Appseed or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. No other rights are granted.

You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Firebase, SMS gateways, app stores). We are not responsible for the availability, content, or practices of any third-party service. Use of third-party services is governed by their own terms and policies.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Availability and Changes

  • We strive to keep the Service available but do not guarantee uninterrupted or error-free operation.
  • We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
  • We may update the app from time to time. You agree to install updates required for security or functionality.

11. Termination

  • By you. You may stop using the Service and delete your account at any time.
  • By us. We may suspend or terminate your account, without notice, if you breach these Terms, violate applicable law, or if we cease to operate the Service.
  • Effect of termination. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) will continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected. You use the Service at your own risk.

We are not responsible for the accuracy of data entered by community admins or members, including expenses, invoices, payments, and bank details.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINTENEX AND APPSEED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) INR 1,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless MainteNex, Appseed, and our officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Content you upload or actions you take in a community.
  • Your violation of any law or third-party right.

15. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to applicable law, the courts located in [Your City], India, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before filing a formal claim, you agree to first attempt to resolve the dispute informally by contacting us at contact@appseed.in.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email. The "Last Updated" date reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger or sale of assets.
  • Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
